TRANSACTION ADVISORY LEADER

 

We are currently seeking a talented, enthusiastic individual to lead our Transaction Advisory Team.  This is a great career opportunity for a Transaction Advisory/Mergers & Acquisitions professional who would like to grow and manage the suite of existing firm services including comprehensive: quality of earnings analysis (buy-side and sell-side); transaction structuring; financial due diligence, business valuations and financial forecasting; post-transaction integration; tax efficiency planning; purchase price adjustments, and ESOP feasibility analysis.  Our transaction professionals provide client-tailored practical, independent financial, tax, and strategic advice and deliverables in each transaction

Responsibilities:

  • Advise clients on how to maximize opportunities and minimize risks related to mergers and acquisitions and provide recommendations in the context of valuation and deal structuring alternatives.

  • Manage and work on multiple projects of varying size and complexity related to: due diligence and consulting for business owners, private equity groups, search funds, hedge funds, and family offices.

  • Develop detailed reports and perform complex analyses, including the analysis of cash flows, quality of assets and earnings, working capital, potential liabilities and risks, and the impact of findings on the purchase price of the target organization.

  • Perform reviews for Quality of Earnings, Business Valuation and other deliverable reports for other practice areas of the firm and clients.

  • Play an integral role in developing relationships with current and prospective clients, identify market opportunities and articulate our value proposition.

  • Create proposals and presentations with the Marketing Department for new and existing clients.  Work with the Director of Marketing on marketing plans and go-to-market strategies.

  • Responsible for engagement management, including preparing and presenting accounting findings and concepts.

  • Possess the ability to review and provide feedback regarding project reports prepared by engagement team members.

  • Manage and prioritize team responsibilities.

  • Ensure that “best practices” are developed and used within the Transaction Advisory Team, including policies, processes and tools.

  • Lead the Transaction Advisory team with a shared vision, coach and motivate team members, and build a spirit of trust within the team.

  • Manage, monitor and present departmental financial results to various firm groups.

 

Required:

  • Minimum of 7 years of relevant experience, including at least 5 years of experience in executing merger and acquisition transactions. 

  • Excellent experience with: projections/forecasts, business valuations, quality of earnings, tax strategies, due diligence and deal structure strategies.

  • Excellent knowledge of financial reporting and valuation principles affecting M&A activities.

  • Extensive knowledge assessing quality of earnings, net assets, tax strategies and cash flows

  • Experience serving business owners, private equity groups, family offices and individual investors.

  • Strong business development mindset and with good relationship management skills.  This includes the ability to influence and negotiate deals.

  • Extensive experience in project management including planning, organizing, coordinating, and managing staff, clients, toward the successful completion of a project.

  • Strong analytical and interpersonal skills.

  • Effective written and verbal communication skills.

  • A strong work ethic and the ability to adapt to new challenges and ideas.

  • Proficient at Microsoft Office, especially Excel and PowerPoint.

  • Must be willing to travel when necessary.

 

Preferred:

  • MBA, CPA or equivalent. 

  • Certifications including the CVA, CM&AA, or CFA. 

  • Applicable securities and/or real estate brokerage experience is a plus.

  • Business valuation software, research database and other relevant software proficiencies.

  • Success in growing a Transaction Advisory practice.

  • Experience within a National Accounting Firm.

ACCOUNTING ADVISORY SUPERVISOR

Located in Eden Prairie, we are currently seeking a talented, enthusiastic individual to join our Accounting Advisory Group.  This team specializes in working with small to mid-sized businesses in a wide variety of operational services: reviews, compilations, consulting, tax, outsourcing services and other unique projects. 

 

 

Responsibilities:

  • Preparing and reviewing financial statements (compiled/reviewed)

  • Preparing and reviewing income tax returns (individual, partnership, multistate, and corporate)

  • Assisting clients with bookkeeping and adjusting journal entries

  • Directing the work of associate staff members

  • Providing various accounting and business consulting services

  • Conducting special projects as assigned

 

Competencies:

  • Self-starter with the ability to organize work and projects, prioritize and meet deadlines

  • Strong attention to details

  • Communicates effectively in both written and verbal capacities

  • Strong interpersonal skills and a team-oriented attitude

  • Ability to build client relationships

  • Learns new processes and information quickly

 

Qualifications and/or Experience:

 

Required:

  • A Bachelors Degree in Accounting

  • 4-7 years of recent public accounting experience

  • CPA licensure or actively working towards CPA licensure

  • Proficient in Microsoft Office Suite (a focus on Word and Excel)

  • Strong knowledge of generally accepted accounting principles

  • Ability to perform complex financial analysis

  • Strong knowledge of internal revenue code, tax law, tax processes and general tax software

Preferred:

  • Proficient with QuickBooks / Sage

  • Experience with Caseware
